Successfully registering a company in Bulgaria requires collecting and submitting a number of documents to the relevant government authorities. It is important to make sure that all documents are drawn up correctly to avoid delays in the registration process. Identity document of the founders and director
Each founder and director of the company will need a passport or another identity document — for foreign nationals this is usually an international passport.
Articles of association or company statute
One of the most important documents for registration is the articles of association (if there are several founders) or the company statute (for an EOOD/single-member LLC). These documents must specify:
- The company name.
- Its registered address.
- The amount of the share capital.
- The founders and the distribution of shares.
- The powers of management and the governance procedure.
Document confirming payment of the share capital
After opening a corporate account with a Bulgarian bank, you must pay in the company’s share capital — the minimum amount for an OOD (LLC) is 2 leva. The bank issues a certificate confirming that the funds have been credited to the account; this certificate is attached to the application. Documents for the company’s registered address
Every company registered in Bulgaria must have a registered address. To provide this, you need to submit one of the following documents:
- A lease agreement for office premises.
- A sublease agreement, if the premises are sublet.
- Confirmation of the right to use the address, if it is provided by a third party — for example, as part of a virtual office service.
Founders’ resolution to establish the company
If the company is being established by several founders, a resolution of the founders’ meeting on establishing the company, appointing the director and approving the statute will be required.
Notarisation of signatures
Some documents, such as the founders’ resolution, require notarisation. All founders and representatives sign the relevant documents in the presence of a notary.
Declarations under Articles 13, 141 and 142 of the Commerce Act
During registration, three declarations must be submitted:
- Declaration under Article 13 — the founders confirm that they meet all the conditions for establishing a legal entity.
- Declaration under Article 141 — the person appointed as the company’s director confirms their consent to perform this role.
- Declaration under Article 142 — the director confirms that they do not hold a similar position in another company where this is prohibited by law.
Application for entry in the Commercial Register
The main document submitted to the Bulgarian Commercial Register. It states all the key information about the company: name, founders, director, registered address, amount of share capital and other details.
EORI and VAT numbers (if required)
If the company plans to conduct international trade or work with clients within the EU, it will need to be registered to obtain an EORI number (for customs operations) and a VAT number (for taxation).
What to pay attention to
Most delays during registration arise from one of three causes: mismatched information across different documents, missing notarisation where it is required, and an incomplete set of declarations. Before submitting, it is worth checking that the name, address and amount of capital match across all papers — they must match word for word.
